Environmental issues can play a pivotal role in real estate sales and acquisitions,
public and private financings, mergers and acquisitions, and asset-based financing.
The manner in which a potential environmental liability or risk is (or is not)
evaluated and allocated can have material financial consequences for the parties
involved. In the transactional context, our firm’s role is two-fold. We
assist the client in identifying and evaluating potential environmental liabilities
and risks such as remedial and tort liabilities and operating requirements and
restrictions. We then help develop and implement a strategy for allocating and
managing these risks using contractual provisions and insurance programs. Our depth of knowledge and experience with environmental
regulatory programs, and our regular contact with local, state and federal regulatory
agencies, enable us to craft creative solutions.
We are frequently called upon to serve as local counsel for transactions with
multi-jurisdictional issues. Our practice also involves coordinating the environmental
aspects of projects with properties and operations in multiple states. Our firm
is one of the founding members of the Environmental Law Network. ELN creates
access to more than 200 attorneys across the United States, assisting us in
providing legal services that are national in scope and also focused locally
on the particular jurisdictions of concern. When necessary, we can call upon
the resources of ELN to coordinate local representation nationwide on transactions
that face environmental issues in other jurisdictions.
